LEDSpace Trade Terms — Pilot

Who we are

  • LEDSpace is the trading name of Maxilux Lighting Limited (Company No. 02868064).
  • Address: Unit 16, Falkland Close, Charter Avenue Industrial Estate, Coventry, CV4 8AU, United Kingdom.

What this is

  • A pilot trade account scheme. We’re testing how this works for our customers.
  • Because it’s a pilot, we may change, pause, or stop the scheme at any time.
  • These Pilot Terms sit alongside our main Terms & Conditions (the “Main Terms”). The Main Terms still apply: https://www.ledspace.co.uk/pages/terms-conditions

1) Eligibility & verification

  • For bona fide trade customers only (business use/resale).
  • We may limit the scheme by country/region. Exporting may need our written OK.

2) Using your account

  • Please use the account for business purchases only.
  • Don’t share trade pricing or screenshots publicly.
  • We can suspend or close accounts for misuse, non payment, or policy breaches.

3) Prices, discounts & promotions

  • Trade prices show when you’re logged in and are confidential.
  • Stacking: Retail facing offers (voucher codes, coupon boxes, automatic discounts, site wide sales) do not stack with trade pricing by default. We may allow stacking at our sole discretion, case by case, and can withdraw it at any time.
  • Prices can change. If something is obviously wrong, we may correct or cancel the order.
  • We may share RRP/MAP guidance. Please don’t advertise below this without our written OK (where applicable).

4) Ordering, payment & credit

  • We may set minimum order values/quantities for trade.
  • Payment up front (card/BACS/Shopify Payments) unless we agree a credit line.
  • Any credit limit or terms can be changed or withdrawn.
  • Late payments: we may charge statutory interest and recovery costs (as allowed by law) and pause further supply.
  • Quotes have a validity window and depend on stock at the time we accept your order.

5) Delivery

  • Lead times are indicative. We may part ship with your agreement.
  • Tell us about damages/shortages as soon as possible (within the time stated in our delivery policy). Photos/serials help.
  • Risk passes on delivery. Title passes when we receive cleared funds (unless our Main Terms say otherwise).

6) Returns & warranty

  • Change of mind returns (trade) may be refused or accepted with a restocking fee.
  • Non returnable: cut to length items, custom assemblies, and made to order products (unless faulty).
  • Faulty items follow our standard warranty/RMA process. Advance replacements are at our discretion.
  • You are responsible for suitability, correct installation, and local compliance.

7) Brand, marketing & channels

  • You can use our brand assets/images/data if you follow our guidelines. Please don’t alter assets without permission. From time to time, co-branding opportunities may arise.
  • Listing our products on marketplaces (e.g. Amazon/eBay) may be restricted or require written consent.
  • Trade info (pricing, roadmaps, unpublished materials) is confidential.

8) Data, taxes & compliance

  • You’re responsible for correct VAT treatment and records.
  • We may contact you about account activity, operational updates, price changes, product notices, or recalls.

9) Changing or ending the pilot

  • We may change, pause, or end the Pilot or your trade account at any time, with or without cause (e.g. breach, misuse, inactivity).
  • If the Pilot ends, any ongoing trade terms will need fresh written confirmation from us.
  • If your account ends, any amounts owed are due. Confidentiality, IP, and payment obligations continue.

10) Liability & disputes

  • We don’t exclude anything we can’t legally exclude. Otherwise, the limits and exclusions in our Main Terms apply.
  • Governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
